These Terms and Conditions govern the relationship between Voelcker International LLC, 7901 4th St N Ste 4000 St. Petersburg, FL33702, United States ("Company," "we," "us") and the Clients ("the Client," "you") for design services and software solutions.
We provide professional design services across three core areas:
Specific deliverables, timelines, and pricing are detailed in individual project proposals or statements of work.
Fixed-Price Projects: 50% deposit due before work begins, 50% due upon completion. Alternative payment schedules may be agreed in writing.
Time & Material: Invoiced monthly for work completed. Payment due within 7 days of invoice date.
Monthly Retainers: Monthly retainer agreements provide a defined scope of work, including specified hours or deliverables per month as outlined in the retainer agreement.
Payment Methods: Bank transfer, or as agreed. The Client responsible for transaction fees.
Late Payments: Payment is due within 7 days of invoice date. If payment remains outstanding 4 weeks after invoice issuance despite reminders and extended deadlines, all work will be suspended and deliverables withheld until full payment is received.
Unlimited revisions are included within the agreed project scope. Changes outside the original scope require a change order and may incur additional fees and timeline adjustments. We will notify you promptly if requested changes are out of scope.
Any third-party feedback providers (including individuals, consultants, or teams) must be disclosed and agreed upon at the start of the project.
If the Client chooses to use artificial intelligence (AI) tools to review or evaluate deliverables, all feedback must include the exact prompt used to generate such output. Feedback generated without prompt transparency may not be considered.
AI-generated feedback is non-binding and may be incomplete, inaccurate, or lacking project-specific context. Voelcker Design is not responsible for decisions made based on AI-generated or third-party feedback. Any requested changes resulting from such feedback may be treated as revisions and, if outside the agreed project scope, may incur additional fees.
Upon full payment, the Client receives ownership of final approved deliverables. Preliminary works, drafts, and unused concepts remain Company property. We retain the right to display completed work in our portfolio unless otherwise agreed. The Client is responsible for licensing third-party materials (fonts, stock imagery, etc.).
The Client agrees to provide timely feedback, content, approvals, and access to necessary systems. The Client ensures all provided materials do not infringe third-party rights.
The Client shall promptly fulfill all cooperation requirements requested by Voelcker Design for proper contract execution. We are not responsible for delays caused by late or missing the Client briefings, materials, feedback, or approvals.
Project deadlines are communicated at least 14 business days in advance and depend on the availability of both parties. While both parties commit to reasonable efforts to meet agreed timelines, delays caused by the Client's late responses, missing information, or unavailability do not affect the payment schedule. Voelcker Design reserves the right to proceed with invoicing as originally agreed, regardless of the Client-caused delays.
All deliverables will be provided during regular business hours (Monday–Friday, 09:00–17:00 local time) unless explicitly agreed otherwise in writing by both parties prior to project commencement.
Requests for deliverables must be submitted with reasonable advance notice based on the scope of work, at minimum 2 business days prior to the required delivery date. This allows adequate time for quality execution.
Express Service: Expedited delivery outside regular timelines or business hours is available upon request for an additional fee. Express service must be agreed in writing by both parties before work begins, including the expedited timeline and associated costs.
Voelcker Design is not obligated to fulfill requests that do not meet the minimum advance notice requirements or that fall outside agreed working hours without a prior express service agreement.
Fixed-Price Projects: Either party may cancel with written notice. Upon cancellation, the Client will be invoiced for work completed to date. Deposits are non-refundable but will be applied to completed work.
Monthly Retainers: Design and web retainers may only be cancelled with one (1) month prior written notice. The cancellation becomes effective at the end of the following monthly billing period. For example, notice given on May 15th results in cancellation effective June 30th. The Client remains responsible for payment through the notice period.
Cancellation by Voelcker Design: We reserve the right to cancel any engagement if the Client fails to make timely payments or fails to provide necessary materials or cooperation for 30+ days.
We warrant that all work will be performed in a professional manner and that original work created by us will not infringe third-party intellectual property rights.
Services Provided "As Is": All services and deliverables are provided “as is” without warranty of specific business outcomes, results, or performance metrics.
The Client Responsibility for Review: It is the Client's sole responsibility to thoroughly review all deliverables for errors, faults, or defects. Any issues must be reported to Voelcker Design in writing immediately upon discovery. If notified during an active project, we will have 14 business days to correct reported faults at no additional charge.
Post-Completion: Once a project is marked as complete and final payment has been received, no further revisions or corrections will be made. Voelcker Design is not responsible for any faults, errors, or issues discovered after project completion and final payment.
No Liability for the Client-Side Damage: Voelcker Design assumes no responsibility or liability for any damage, loss, or issues occurring on the Client's systems, platforms, or business operations.
Limitation of Liability: Our total liability arising from or related to any project shall not exceed the total fees paid by the Client for that specific project. Under no circumstances shall we be liable for indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, even if advised of the possibility of such damages.
Both parties agree to maintain the confidentiality of all proprietary, sensitive, or confidential information disclosed during the course of the engagement (“Confidential Information”). This includes, but is not limited to, business strategies, financial information, technical data, customer lists, pricing structures, unpublished designs, and any information marked as confidential or that would reasonably be considered confidential given the nature of the information and circumstances of disclosure.
These Terms constitute the entire agreement between parties. If any provision is unenforceable, remaining provisions remain valid. Neither party is liable for delays due to circumstances beyond reasonable control. These Terms are governed by applicable law in the Company's jurisdiction.
By engaging our services, submitting a project request, or making payment, you acknowledge acceptance of these Terms.
